1. Agreement to these Terms

These Terms are a binding agreement between you and GrowKong Group Inc. (GrowKong, we, us), operator of GrowKong Network, for our website, creator program, and related Services. By accepting these Terms you agree to them. Our Privacy Policy explains our processing of personal information. Acknowledging it is not consent to optional cookies, marketing, or every processing activity.

Creator work is also governed by the Master Creator Agreement you sign and the published project terms, offer, brief, task, or bonus rules you accept. These identify deliverables, qualifying events, rates, limits, deadlines, and markets. Specific accepted commercial terms control their subject; the Master Creator Agreement controls creator content rights. A project changes those rights only through an express written provision identifying the change. Drafts, previews, estimates, and roadmap features are not payment commitments. Mandatory legal rights always prevail.

The Dispute resolution section includes individual binding arbitration, a jury-trial and class-action waiver where lawful, and a 30-day opt-out.

2. Eligibility

You must be at least 18 years old and able to form a binding contract to use the Services. If you use the Services on behalf of a company or other legal entity, you represent that you are authorised to bind that entity, in which case “you” means that entity. You must not use the Services if you are barred from doing so under applicable law or are located in a sanctioned or embargoed jurisdiction.

3. How the creator program works

GrowKong builds its own products and invites creators to promote them. When you join a project, we give you tracked links, promo codes, and brand materials, and you create and publish content to drive real, verified results — such as registrations and paying users.

  • Performance rewards. You may earn rewards for verified results attributed to you, which can include a commission per verified paying user, fixed task rewards, and announced bonuses. The specific rates and rules for each project are shown in the Services and may change on a going-forward basis.
  • Creator Levels. Verified sales unlock permanent Creator Levels (Bronze through Platinum). Levels never reduce and do not multiply the amount you earn from a sale, bonus, or task. They can affect simultaneous project capacity, eligibility, and shorter settlement holds where a published project offers that benefit. Each project's published compensation and settlement rules remain the source of truth for that project.
  • No guarantee. Participation does not guarantee any particular level of earnings, or any earnings at all. Your results depend on your own effort and on factors outside our control.
  • Independent contractor. You participate as an independent contractor. Nothing in these Terms creates an employment, partnership, agency, or joint-venture relationship. You are responsible for your own taxes, equipment, expenses, permits, and work methods unless otherwise agreed. You may decline projects and work for others subject to confidentiality and any expressly agreed exclusivity. You cannot bind GrowKong. Mandatory worker rights and legally required classification remain unaffected.

4. Your account

You must provide accurate information, keep it up to date, and keep your credentials secure. You are responsible for everything that happens under your account. Do not share your account, create more than one account without our permission, or impersonate anyone. Notify us at support@growkong.com if you suspect unauthorised use.

To receive payouts or where the law requires, you must complete identity verification (KYC) and provide tax documentation. We may hold payouts until required verification is complete. Once creator activation is complete, tax checks ordinarily affect payout readiness. A pending tax check does not by itself stop you from using Creator Studio, joining projects, submitting content, or earning. We may restrict broader access only where reasonably necessary for fraud, sanctions, safety, legal compliance, or a serious breach of these Terms.

5. Acceptable use and creator conduct

You agree that you will:

  • comply with all applicable laws and with the advertising-disclosure rules that apply to you, including clear disclosures of commissions, free products, bonuses, and other material connections alongside the endorsement, in its language. In video, disclose in the video, not only its description; repeat disclosures in live streams as needed. Use understandable words such as “ad” or “sponsored.” Platform tools alone may be insufficient. Describe genuine experience and use only substantiated claims; and
  • comply with the terms, community guidelines, and policies of every third-party platform on which you post (such as TikTok, Instagram, or YouTube).

You must not:

  • generate fake, unauthorised incentivised, bot, or otherwise invalid traffic, clicks, installs, registrations, or sales; refer yourself; stuff cookies; or otherwise manipulate tracking or attribution;
  • buy fake engagement, or use misleading, deceptive, defamatory, or unlawful claims or content;
  • post content that is infringing, hateful, harassing, sexually exploitative, or otherwise violates the rights of others or our content standards;
  • spam, or contact users in ways that violate anti-spam or telemarketing laws;
  • interfere with, probe, or attempt to gain unauthorised access to the Services, or reverse-engineer or scrape them except as permitted by law; or
  • use the Services to launder money or evade sanctions.

We may review activity and content and, where we reasonably determine these rules are breached, withhold or reverse rewards, remove content, and suspend or terminate accounts.

6. Content, business use, and your portfolio

Creator work

GrowKong owns the transferable rights in original content specifically commissioned for accepted creator work under the signed Master Creator Agreement. It includes an express copyright assignment and, for works that legally qualify, a work-made-for-hire agreement. Ownership covers the full lawful term of those rights, including commercial editing, distribution, licensing, organic promotion and paid advertising, and survives the end of our relationship. It does not cancel compensation we owe. A payment alone is not a substitute for that signed transfer. Your personal accounts, unrelated work and pre-existing assets remain yours; incorporated background and third-party assets require the necessary use permissions. The Master supplies a fallback licence where a right cannot legally transfer and preserves non-waivable rights. Explicit accepted project terms may vary the rights arrangement. Earlier valid assignments remain in place.

Portfolio permission

You may include publicly released deliverables in your portfolio, showreel, website, and professional profiles without separate approval, including deliverables GrowKong owns under the current or an earlier agreement. GrowKong grants that portfolio permission without transferring ownership back to you. Respect a specifically agreed release embargo, protect confidential information and other people's personal data, and do not imply an endorsement of you or another business. This permission includes the GrowKong branding already embedded in the deliverable. It does not allow resale of our assets, reuse of our branded work in a competing campaign, or publication of unreleased drafts. We may request removal for a specific rights, confidentiality, misleading-use, or legal issue.

Other submissions and rights clearance

For other content you post in the Services, you grant the licence reasonably needed to host, display, moderate, and deliver it to its intended audience. Private support messages, tax documents, and identity records are not advertising assets. You must have the rights and permissions needed for what you submit, including commercial music, stock-media and participant releases. Social-platform music permission may not cover advertising or off-platform reuse. The Master Creator Agreement addresses likeness, AI, source files, and permitted edits.

Our brand and materials

We grant a limited, revocable, non-transferable licence to use our brand kits, links, and materials for the authorised project and permitted portfolio display. All other rights in our software, products, marks, and supplied assets remain ours; associated goodwill benefits us. Feedback you voluntarily submit carries a perpetual, irrevocable, royalty-free licence for us to use it without additional payment.

7. Attribution, earning conditions, and adjustments

Rewards depend on verified results attributed through supported links, codes, identifiers, provider evidence, and the project attribution window. Customer subscriptions (monthly or annual), one-time purchases, or pay-as-you-go top-ups qualify only under their published offer. Commission may be fixed USD or a percentage of the stated commissionable payment amount; recurrence may be once, limited successful payment cycles, or while subscribed, with any stated duration cap. Recurring customer billing alone does not promise lifetime commission.

  • Verification and settlement. Clicks, views, pending payments, forecasts, and progress are not settled cash. Project rules specify qualifying activity, exclusions, and settlement holds. The accepted commercial version determines the rate for the qualifying transaction. Settlement timing can change for still-pending earnings when updated project terms are published and notified, or shorten when a Creator Level benefit applies. Settled earnings do not become pending again merely because a project changes its hold rules. Applicable legal restrictions on changes remain in force.
  • Corrections and reversals. Refunds, chargebacks, duplicate or invalid activity, and fraud may reduce or reverse related rewards, proportionately where appropriate, including after payout. A cancellation of future billing alone does not refund an earlier payment. A failed refund is not a completed refund; a reinstatement is reconciled against its earlier adjustment. One financial event must not create duplicate deductions.
  • Prospective changes. We may change future offers, rates, bonuses, and eligibility with notice. We do not lower an already unlocked Creator Level or cancel valid earned compensation merely by changing rules or ending a project. The existing validation, reversal, and correction rules continue to apply.
  • Evidence and review. Our records are the system of record, applied in good faith, and may be corrected when evidence demonstrates an error. Consent choices, unsupported links, missing identifiers, or provider delays may affect attribution. Report a concern promptly to support@growkong.com with the project, date, and non-sensitive reference. We review available evidence and explain material adjustments where lawful; our records do not extinguish your right to dispute an error.

8. Project bonuses, platform rewards, and fixed tasks

Bonuses are available only under published rules you qualify for. Project bonuses can reward a personal threshold or allocate a shared team pool. Platform rewards are separate GrowKong-funded offers, such as a first qualifying video, first settled sale, or an eligible Creator Level milestone. A project bonus does not promise a platform reward, or vice versa. Amounts displayed for a particular offer are specific to that offer; neither every project nor every creator receives all bonuses.

Each offer specifies its amount or formula, eligible creators and activities, time window and time zone, progress basis, review or claim steps, limits, and any capacity or funding cap. Project sales-bonus progress uses qualifying initial sales that have settled or been paid, not every subscription renewal; an in-window pending sale can count once it later settles under the offer rules. A shared team pool is divided according to the published qualifying-sales allocation, with cent rounding. Fixed bonuses pay their stated amount, without a Creator Level multiplier. A platform reward is limited to its published run, milestones, capacity, and one-award rules.

A fixed task requires its stated submission, deadline, evidence, approval, and settlement conditions. Event rewards require the defined verified event, eligibility and available funded capacity; an event beyond a stated cap does not automatically earn a reward. Progress and previews are provisional. Awards combine only as their rules allow; duplicate processing never creates duplicate payment. Invalid or refunded activity remains subject to correction. An earned project sales bonus does not incur an extra bonus hold merely because its underlying qualifying sales have just settled.

We may replace or end future offers with notice, but do not cancel a valid award already earned under accepted conditions simply by editing an offer, ending a project, or exhausting budget. A preview is not a reservation. Future referral or phantom programs require their own published terms; their appearance in a roadmap creates no entitlement.

9. Payments, the $5 minimum, and currency conversion

Payouts use Stripe or another approved provider. Keep your legal payee, residence, tax and bank details accurate and complete required checks. Earnings are recorded in USD, and the following standard rules apply.

  • US$5 account minimum. The GrowKong minimum is US$5 of eligible net USD earnings selected for a payout across your account, including multiple projects. It is not a separate $5 threshold for every project. Unpaid eligible amounts carry forward: $2 plus $3 across closed periods can become a $5 payout. Pending earnings and amounts reserved for another payout do not count; due negative adjustments reduce the available amount. Any increase to the standard threshold requires prospective notice and compliance with applicable payment law; a hidden configuration change is not notice.
  • Closed periods and timing. The standard period is Monday 00:00 through the next Monday 00:00 in America/Chicago. Earnings must settle before the closed-period cutoff. Finance ordinarily reviews and sends weekly payouts on Wednesday; this is an operating schedule, not automatic dispatch or guaranteed bank arrival. Reviews, holidays, provider and bank processing can delay delivery. Requested or authorised does not mean delivered; sent means the provider confirms dispatch, not necessarily recipient-bank credit.
  • Eligibility and holds. We check a valid signed creator agreement, verified payee, supported country and method, tax documentation, sanctions, fraud and security restrictions, and published content obligations. Deliverables marked Ready or Approved before the weekly cutoff but still awaiting required live-publication evidence can temporarily hold the account payout until corrected or reviewed. Staff may need to approve an exception to a recorded weekly obligation. This is not a forfeiture of earned money. We provide actionable information where lawful and a support route to resolve or challenge a hold.
  • Currency conversion. For a supported destination receiving another currency, the provider supplies the exchange rate and destination amount. A preview is an estimate; a quote may expire and be replaced before dispatch. The payout record shows available currency, destination amount, and conversion details. No fixed rate or identical local-currency amount across payout dates is promised.
  • Provider limits. The provider can impose separate minimums and limits for the source amount, recipient country, destination currency and payout method. Both sides of a converted payout must meet the applicable limits, which can exceed US$5. Available earnings remain owed if a provider cannot process that amount; we explain the route restriction and arrange further accumulation or an authorised lawful alternative, subject to required payment deadlines and the final-settlement rule below.
  • Fees. GrowKong covers the provider payout and FX fees charged for its payout; these do not reduce the quoted destination credit. A receiving or intermediary bank may impose separate fees or another conversion outside our control. Any future change to our fee allocation requires advance disclosure and applies only as lawfully agreed for future payouts.
  • Taxes. You are responsible for your taxes. We may collect W-9 or W-8 series forms, issue reports such as a 1099, and withhold where legally required. Form selection and withholding depend on the payee, tax residence, service location and applicable law; a form does not guarantee exemption. Notify us promptly of changes. Pending tax checks do not automatically forfeit earnings.
  • Negative balances and failed transfers. Lawful, documented adjustments may be offset against future earnings or recovered by repayment, without double recovery. An adjustment does not authorise us to debit your bank account. Failed or returned transfers are reconciled before replacement, not treated as a second permanent deduction. No unsupported country or payout method is guaranteed.

Balances record contractual compensation, not deposits, stored value, or interest-bearing funds. On account closure or termination, we pay all valid compensation we owe regardless of the standard minimum, including balances below US$1. Suspension or declining new terms does not itself forfeit earned compensation. Final reconciliation separates valid settled amounts from pending validation, genuine disputes, lawful offsets and legally required holds. A provider minimum or an unavailable route does not cancel the debt: we arrange an authorised lawful alternative for a below-minimum final payment and keep the obligation recorded until payment or another lawful resolution. Contact support for final reconciliation and secure verification; reactivation or acceptance of new work terms is not a condition for claiming an existing debt. Mandatory payment deadlines and unclaimed-property rules override the ordinary schedule.

10. Phantom rewards program (where offered)

For some projects we may offer an optional phantom-rewards program that lets qualifying creators accrue points tied to a product’s success. Where offered, the following applies:

  • the program is optional and discretionary and is governed by a separate written phantom agreement you must accept to take part;
  • phantom points are a contractual reward metric only. They confer no shares, equity, stock, options, or promise of any cash amount, and they carry no ownership, voting, or dividend rights unless and until a separate written agreement expressly grants them;
  • points are subject to eligibility gates, conditions, forfeiture, and program changes or termination, and their value — if any — is contingent and may be zero; and
  • this description is not an offer to invest. Any actual program requires separate terms and assessment under applicable securities, compensation and tax law; a label alone does not determine its legal classification.

11. Community and communications

The Services include community and messaging features. You are responsible for what you post, and you agree to follow our community rules and the acceptable-use rules above. We may moderate, remove content, and limit or remove access to these features to keep the community safe. By using the Services you agree to receive service-related communications from us; you can opt out of marketing messages at any time.

12. Third-party services

The Services rely on and link to third-party services (such as payment providers, sign-in providers, and social platforms). Your use of those services is governed by their own terms, and we are not responsible for them. We are not responsible for the availability, accuracy, or content of third-party services.

13. Privacy and data choices

Our Privacy Policy explains what personal information we collect, why and on what legal basis we use it, the providers that receive it, retention, international transfers, and your rights. Optional cookies and similar storage remain off until you choose them, and you may reopen Cookie settings from the site, registration, onboarding, or your account. Service-related account, project, tax, and payout messages are operational communications; marketing messages can be opted out of separately.

14. Suspension, ending projects, and account closure

You may decline future projects, stop using the Services, and request account closure through support. We may pause projects or restrict access for a reasonable business, safety, legal, fraud, or serious breach reason. We provide notice and a way to seek review where lawful and practicable; urgent risks may require immediate action. Review, revision, evidence, publication and content-retention obligations are those disclosed in the applicable project, not a guarantee that every submission will be approved. A project ending stops future opportunities; approved earned obligations still require reconciliation.

Permanent reversals or forfeiture as a consequence of misconduct apply only to rewards associated with invalid or violating activity under the applicable rules. The temporary account payout holds described above can still apply while a lawful requirement is resolved. Unrelated valid earned amounts are not confiscated merely because an account closes, access is suspended, or you decline updated terms. Existing deliverable rights, permitted portfolio use, payment and adjustment obligations, confidentiality, lawful retention, and dispute terms survive as needed. Account closure and erasure of all records are different processes; our Privacy Policy explains legally required retention.

15. Disclaimers

The Services are provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Services will be uninterrupted, secure, or error-free, or that any level of results or earnings will be achieved. Some jurisdictions do not allow the exclusion of certain warranties, so some of these exclusions may not apply to you.

16. Limitation of liability

To the fullest extent permitted by law, GrowKong Group Inc. and its affiliates, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, or goodwill. Our total liability for all claims relating to the Services will not exceed the greater of (a) the total rewards we paid you in the twelve months before the event giving rise to the claim, or (b) US$100. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you, and nothing here limits liability that cannot be limited by law. This cap does not excuse payment of valid earned compensation or limit liability for fraud or intentional misconduct.

17. Third-party claims

To the extent lawful, you will indemnify GrowKong and its affiliates, officers and staff for third-party claims and reasonable defence costs caused by content or materials you supply, your breach, unlawful conduct, infringement, or taxes for which you are responsible. This excludes claims caused by our supplied unmodified materials, our unauthorised changes, or our own unlawful conduct. We will give prompt notice, reasonable cooperation, and an opportunity to participate in the defence. No settlement may impose an admission or non-monetary obligation on a protected party without its written consent. This clause does not remove non-waivable rights or permit double recovery.

18. Governing law and dispute resolution

The laws of the State of Texas govern, excluding conflict rules; the Federal Arbitration Act governs arbitration where applicable. Mandatory local protections are preserved.

Informal resolution

Contact support@growkong.com with your name, account email, the concern and requested resolution. Both parties will try in good faith to resolve it for 30 days after notice before filing, unless urgent relief or a legal deadline requires earlier action. Do not include bank credentials or taxpayer numbers.

Individual arbitration

Except for eligible small-claims matters, either party's requests for urgent court protection of intellectual property or confidential information, and claims that law does not permit to be arbitrated, we agree to individual binding arbitration administered by the American Arbitration Association (AAA). Its applicable Employment/Workplace Rules govern individual work-related creator disputes; Consumer Rules apply where AAA determines appropriate, and Commercial Rules otherwise. Rules and filing instructions are at adr.org. A single neutral arbitrator may award the same individual remedies available in court and must provide a reasoned written decision.

Hearings may occur remotely or in a reasonably accessible location consistent with applicable rules. Fees follow those rules and law; GrowKong pays amounts allocated to the business and amounts required to keep the agreement enforceable. Courts decide whether an arbitration agreement was formed and whether this waiver is enforceable. If AAA cannot administer, the parties may agree on another provider; absent agreement either may proceed in a competent court. Neither party may impose a replacement provider unilaterally.

Where permitted by law, disputes proceed individually, with no jury trial in arbitration and no class or representative arbitration unless both parties agree. Non-waivable public or representative remedies remain available in a competent court. An unenforceable waiver is severed only as permitted by law.

You may opt out by emailing support from your account address within 30 days of first accepting these Terms, or within 30 days of accepting a material change to this arbitration provision, stating your name and that you opt out of arbitration. Prior valid opt-outs remain effective; opting out does not affect participation or earnings. Changes to this provision do not apply to a dispute already notified before acceptance.

Where court proceedings are permitted, venue is the state and federal courts located in Travis County, Texas, except where mandatory law permits another court. EEA and UK consumers keep mandatory local protections and access to their local courts; other users also retain any non-waivable local rights.

19. Document updates and electronic records

Material updates identify the new version, publication/effective date, and a summary of changes. We notify active creators through the Services and a service email to their account address. Marketing opt-out does not block required legal notices; bounced or suppressed email does not constitute acceptance. You can review and save the documents before accepting, and signed creator agreements remain in your Legal account history.

We request affirmative acceptance of updated Terms before affected ongoing use. You sign the Master Creator Agreement initially by entering your full legal name and confirming acceptance. Once that initial signature is recorded, you accept later Master updates by reviewing the identified version, checking its acceptance box, and selecting the confirmation button; you do not need to type your name again. Each update confirmation is recorded separately and does not replace the original signature. A Privacy acknowledgement is separate from any consent required for optional or new processing. We do not treat silence or continued browsing as consent. Future-dated changes apply no earlier than the stated date; required notice and consent rules still apply. Changes do not rewrite past signatures, valid accrued rights, or accepted compensation rates. Notified project settlement updates for pending earnings follow the rules explained above. If you decline, contact support for closure, privacy requests, and final reconciliation. Public documents and contact routes remain available.

Checking an acceptance box or intentionally signing electronically records agreement to the identified version. We retain the version, document hash, account, time, and relevant contracting context as evidence. The initial creator signature also records your legal name and request metadata; later update confirmations link to the original signed record and record the current legal-payee context and request metadata, including a hashed IP address. A confirmation is your intentional electronic acceptance of that update. Tax certificates, a change of contracting party, and separately required legal instruments retain their own verification and signature requirements. You may save or print the presented document and request a copy or help accessing it from support. Withdrawing consent to future electronic contracting does not invalidate completed signatures or accrued rights.

20. Events outside reasonable control

Neither party is responsible for a delay or failure caused by an event outside its reasonable control, such as natural disaster, war, civil emergency, governmental restrictions, widespread utility or network failure, or a payment or social platform outage, despite reasonable safeguards. Ordinary lack of funds, poor results, or an avoidable security failure is not automatically such an event.

The affected party must give notice when reasonably practicable, mitigate the impact, and resume performance promptly. We may pause affected work or agree revised deadlines. If the event continues for 30 days, either party may end the affected future assignment by notice. It does not erase valid accrued payment obligations or excuse duties that can still be performed, including reasonable data protection and confidentiality. Legal payment deadlines remain applicable.

21. General

These Terms and the documents they reference are the entire agreement between you and GrowKong about the Services. If any provision is unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them, including to an affiliate or in connection with a merger, financing, reorganisation, or the spin-out or sale of a product line. We may give notices through the Services or by email; you may contact us at the address below.
