MASTER CREATOR AGREEMENT Version 7.0 — September 9, 2026 This Master Creator Agreement (Agreement) is between GrowKong Group Inc., a Delaware corporation (GrowKong, we, us), operator of GrowKong Network, and the individual or legal entity identified in the signing flow (Creator, you). If signing for an entity, you confirm authority to bind it and obtain the necessary rights from every person contributing to its work. The Terms of Service at https://growkong.com/terms apply as supplemented here. The Privacy Policy at https://growkong.com/privacy explains personal-data processing. ## 1. Scope and project instructions You may create, submit, publish, distribute, or promote materials for GrowKong's own products and projects (Creator Services). Each accepted published project, offer, brief, task or bonus sets its specific deliverables, qualifying events, evidence, approvals, deadlines, publication and retention requirements, compensation and any limits. A draft, forecast, application, or preview is not an award or guarantee of work. You may decline future work. You control work methods and bear your expenses unless otherwise agreed, subject to the required results, law and accepted brief. You are an independent contractor without authority to bind GrowKong; mandatory worker rights and legally required classification remain unaffected. ## 2. Defined materials and ownership Creator Materials are deliverables and their submitted elements created or supplied by you for the accepted Creator Services: for example scripts, captions, photographs, graphics, audio/video, performances, edits, translations, thumbnails and agreed source files. Raw footage, source/project files and drafts must be delivered only where the accepted brief requires them or you voluntarily submit them. Your unrelated work, personal accounts, general skills and independently owned pre-existing tools or assets (Background Materials) are not automatically transferred or licensed in isolation. Commissioned Materials are the original elements of Creator Materials that you specifically create for the accepted Creator Services, including required deliverables and their delivered drafts, revisions and agreed source files. GrowKong owns the transferable intellectual-property rights in Commissioned Materials under the assignment below. Your Background Materials, personal accounts, unrelated work and third-party assets remain with their existing owners. This is an ownership arrangement for commissioned work, not a default non-exclusive content licence. A project can vary it only through an express written provision identifying the affected materials and change, accepted by the authorised parties. ## 3. Commissioned-work ownership and transfer To the extent Commissioned Materials qualify under applicable law, the parties expressly agree that they are specially commissioned works made for hire for GrowKong, including eligible contributions to audiovisual works. Merely describing work this way does not make an ineligible work made for hire. For all Commissioned Materials that are not owned by GrowKong on that basis, you hereby assign to GrowKong all of your transferable right, title and interest, including copyrights and rights to register, enforce and recover for infringements, worldwide for the full duration of those rights, including extensions and renewals. For future materials, this is a present assignment taking effect on creation to the extent lawful; where a further instrument is required, you agree to execute it. GrowKong adopts this electronically published Agreement as its signature, and you sign through the identified signing flow. Ownership includes the right to host, store, reproduce, edit, crop, caption, translate, dub, combine, adapt, create derivative works, publish, distribute, display, perform, license, transfer and commercially exploit Commissioned Materials in any media for GrowKong's business and products, including organic posts, paid ads, websites, product pages, email campaigns and presentations. GrowKong may exercise these rights through its affiliates, vendors, distributors and licensees. No repeated permission or additional reuse fee, residual or royalty is due unless expressly agreed or required by non-waivable law. The agreed compensation, mutual promises and other lawful consideration support this transfer; it does not cancel a fixed payment or other compensation validly earned under the accepted offer. Reuse alone does not create an additional sales commission. For incorporated Background Materials and any other Creator Materials that are expressly accepted for use without an ownership transfer, you grant the perpetual, worldwide, transferable, sublicensable, royalty-free licence needed to exploit the deliverable as agreed, including commercial editing and advertising. This does not authorise standalone exploitation of unrelated background assets or override third-party restrictions disclosed and accepted before use. If applicable law prevents assignment of a right in Commissioned Materials, you instead grant, to the fullest lawful extent, an exclusive, irrevocable, worldwide, transferable, sublicensable licence for the full term of that right, subject to the portfolio permission. These licences preserve usable rights where ownership cannot legally transfer; they do not replace the primary ownership assignment. Unapproved drafts and rejected submissions are used for review, security and records, not public advertising without approval or an express brief authorising that use. Ownership and valid rights grants survive payment processing, account closure and the end of the relationship, without waiving our payment obligations. Statutory termination, inalienable rights and other rights that cannot lawfully be waived remain unaffected; this Agreement does not promise ownership beyond the lawful term of copyright. You will reasonably assist with evidence or instruments confirming the rights actually transferred or granted, at our expense for material additional work. ## 4. Name, likeness, edits and accounts You authorise use of the name, professional handle, image, voice, performance and biography embodied in or intentionally supplied for Creator Materials in connection with the permitted use of those materials and the relevant products. This is not a general right to create a synthetic clone of your voice or likeness, train a model to impersonate you, or make unrelated endorsements; those uses require separate express permission and any legally required consents. Ordinary editing must not misrepresent your expressed experience or create a deceptive claim. To the extent lawful, you consent to permitted edits and omission of credit and waive or agree not to assert moral rights solely to prevent the expressly agreed use of Commissioned Materials. Non-waivable integrity, attribution, privacy and publicity rights remain protected. You keep your personal accounts and credentials. Whitelisting, creator-handle advertising, partnership ads or account access require the platform's separate authorisation and the agreed scope and duration. Do not disclose passwords. Any obligation to keep a post live is the period stated in the accepted project, subject to law, platform enforcement and the correction/exception process below. ## 5. Portfolio permission, including earlier work You may show publicly released Creator Materials in your portfolio, showreel, professional website and social profiles without asking for separate approval, with truthful attribution to your contribution. GrowKong grants you the corresponding non-exclusive, royalty-free portfolio licence in materials it owns under this or an earlier signed agreement, including embedded GrowKong/product branding. This permission replaces the earlier Master Creator Agreement's blanket portfolio prohibition. It does not transfer ownership back to you or undo historical assignments, past signatures, earned payment rights or an expressly agreed project embargo. Wait until the authorised public release and any specifically agreed embargo ends. Do not disclose unreleased drafts, non-public briefs, access credentials, confidential analytics or other people's personal information. Do not imply GrowKong endorses your business or a third party. Portfolio display does not authorise sale of our assets, stock-library licensing of GrowKong-owned work, or reuse of our branded materials to promote a competing product. We may request redaction or removal for a specific documented confidentiality, privacy, infringement, misleading-use or legal concern, not simply because you used this portfolio permission. A project-specific exception must be explicit and accepted in writing. ## 6. Third-party rights and AI You represent that you own or can lawfully supply the rights granted, and have the required permissions and releases for people, performances, locations and third-party elements you supply. Identify background or third-party restrictions before submission so the brief can accommodate them. Music or stock assets licensed only for personal or in-platform use may not be usable in paid ads or other channels. Do not include an asset if its terms conflict with the planned use. You are not responsible for clearing unmodified material supplied by GrowKong unless you agreed to do so. Disclose material generative-AI or synthetic-media use and obtain approval under the project brief before including it. Approved use remains subject to provenance, accuracy, rights and disclosure requirements. Do not input GrowKong confidential information, third-party personal data, tax/bank records, unreleased work or credentials into an external AI service unless that specific service and use are authorised. This Agreement does not promise copyright protection for AI-generated output or grant rights you do not hold. ## 7. Honest promotion and prohibited activity Follow applicable advertising, consumer-protection, privacy, platform and sanctions rules. Clearly disclose commissions, free benefits and other material connections alongside each endorsement in understandable language. Include disclosures in video itself and repeat them in live streams as needed. Platform tools do not replace additional legally required disclosure. Describe only genuine experiences and substantiated claims; never give a false endorsement because a brief requests it. Seek clarification or decline unlawful instructions. Do not generate fake or self-referred sales, bot/incentivised traffic contrary to the offer, cookie stuffing, deceptive attribution, spam, unlawful claims, harassment or infringement; expose personal data or confidential information; manipulate reviews or engagement; misuse credentials; or bypass tracking to claim rewards without qualifying results. Nothing restricts truthful testimony, lawful complaints, protected whistleblowing, good-faith regulator reports or lawful vulnerability reporting. ## 8. Review, publication and remediation Follow the disclosed draft, approval, revision, proof and publication process. Submission alone is not approval. We may require reasonable correction, pause or takedown for legal, platform, rights, security, brand-safety or material quality reasons and will explain the reason where lawful. Approval does not excuse false statements or inadequate permissions you supplied, and does not transfer our own legal obligations to you. Scope expansions or additional paid deliverables require agreement, not unlimited free revisions under a changed brief. Provide reasonable cooperation and requested rights evidence. If a platform removes content or an event outside your control prevents publication or retention, notify support promptly and request review or an exception; do not conceal the issue. A published weekly content requirement may temporarily affect account payout readiness until corrected or reviewed, as explained in the Terms. Such a hold does not erase valid earned money. Staff review may be needed to resolve an already recorded weekly obligation. ## 9. Earnings, bonuses, payouts and currency The Terms and accepted commercial rules determine fixed task payments, sales commissions, qualifying event rewards, project bonuses and separate platform rewards. Only the specific published conditions create an entitlement. Levels do not automatically multiply rates or fixed bonuses; they may improve settlement timing under a published project matrix. Accepted commercial versions determine compensation rates. Updated published project terms can change settlement timing for still-pending earnings with notice, and a Creator Level benefit can shorten holds. Settled earnings do not return to pending merely because hold rules change. Validation, fraud, refund, chargeback and correction rules still apply, subject to mandatory law. Estimates, activity counts and bonus progress are not cash, and there is no guaranteed income. Earnings are recorded in USD. The standard GrowKong minimum payout is US$5 of eligible net earnings across the account, with unpaid eligible balances carried forward across closed periods. The standard week closes Monday 00:00 America/Chicago; Wednesday finance review/sending is an operating schedule, not guaranteed arrival. Payment requires a valid signed creator agreement, identity, supported payout method, tax, fraud, sanctions and published content checks. Provider minimums can separately apply to both the source amount and the recipient's country/currency after conversion, and may exceed US$5. On account closure or termination, GrowKong pays all valid compensation it owes, regardless of the standard account minimum, including balances below US$1. Account suspension or declining a new agreement does not itself forfeit earned compensation. Final reconciliation distinguishes valid settled amounts from pending validation, genuine disputes, lawful offsets and legally required holds. An unavailable route or provider minimum does not cancel the debt: we arrange an authorised lawful alternative for a below-minimum final payment and retain the obligation until payment or another lawful resolution. Contact support for final reconciliation and secure verification. Required legal payment deadlines override the ordinary weekly schedule; we do not require reactivation or acceptance of new work terms solely to claim an existing debt. For supported non-USD destinations, the payment provider supplies the payout quote, exchange rate and destination amount. Estimates can change and quotes can expire before dispatch. GrowKong covers its provider payout and FX fees without deducting them from the quoted destination credit; independent receiving/intermediary bank charges or additional bank conversion may differ. The payout record includes available conversion details. Lawful tax withholding is separate. Failed or returned transfers and financial reversals are reconciled without double recovery. An offset does not authorise a bank-account debit. Other payment details in the Terms apply equally to commissions, tasks and bonuses. ## 10. Tax, identity and personal information Provide accurate legal-payee, tax, residence, service-location and payment information and update material changes promptly. Complete the designated secure identity and tax flows; do not send TINs, bank credentials or identity documents through ordinary chat/email. GrowKong may collect signed certificates, issue required reports and withhold as required by law; a W-8 or W-9 does not guarantee an exemption. You remain responsible for your own tax and business obligations except those legally imposed on GrowKong. Protect any personal information received through your work, use it only for the authorised purpose, minimise access and copies, and promptly report suspected loss or exposure to privacy@growkong.com. Do not export customer lists or contact people for unrelated purposes. If an assignment involves processing personal data on our behalf beyond ordinary creator participation, the parties must put any required processing terms and instructions in place before that processing; the ownership and use provisions here are not a substitute for them. Required disclosures, evidence preservation and lawful rights requests remain permitted. ## 11. Confidentiality Protect non-public briefs, product and launch plans, unreleased work, pricing, customer information, credentials, security details and confidential analytics using reasonable safeguards. Use them only for authorised work and disclose only to people with a need to know and appropriate confidentiality duties. Information independently developed without restricted material, lawfully received without duty, already known without restriction, or public without breach is excluded. If compelled to disclose, provide lawful advance notice where permitted and disclose only what is required. On request or end of work, return/delete unneeded confidential copies, except legally necessary restricted records. Trade-secret protection continues while the information remains a trade secret; other confidentiality continues while the information remains non-public and legitimately confidential. Protected reporting and whistleblower rights are preserved, including legally protected confidential disclosures of trade secrets to government officials or counsel to report suspected violations. ## 12. Third-party claims To the extent lawful, you indemnify GrowKong, its affiliates and personnel for third-party claims and reasonable defence costs caused by your breach, unlawful statements/conduct or infringing elements you supply, excluding claims caused by our unmodified supplied materials, unauthorised edits, or our own unlawful conduct. We provide prompt notice and reasonable cooperation, and you may participate in the defence. No settlement may impose an admission or non-monetary obligation on a protected party without its written consent. The Terms' limitations and non-waivable rights apply; this is not a right to double recovery. ## 13. Duration, force majeure and ending work This Agreement applies after your signature until the relationship ends, with new assignments subject to acceptance. Suspension and termination follow the Terms. Events outside reasonable control require prompt notice when practicable, mitigation and reasonable efforts to resume. The Terms' force-majeure rules permit ending affected future work after a prolonged event; ordinary lack of funds or poor performance is not automatically force majeure. Such an event, project closure or termination does not erase valid accrued compensation, transferred ownership, existing lawful licences, permitted portfolio use, payment corrections, confidentiality, required records or surviving dispute obligations. ## 14. Version changes and order of control This version replaces earlier Master Creator Agreement provisions for future Creator Services once accepted, and grants the portfolio permission above for prior materials. It does not silently reassign historical copyrights or amend an expressly agreed project exception. A project controls only a specifically identified written variation accepted by the parties. The Terms govern platform-wide notices, limitations, disputes, governing law and other general matters, subject to this Agreement's specific creator-rights provisions and mandatory law. No oral statement or preview creates an undisclosed transfer of rights. Material updates receive a version, change summary and service notice. After the initial signature, you accept each later version by reviewing it, checking its acceptance box and selecting the confirmation button. You do not need to type your legal name again. Each confirmation applies prospectively and is recorded separately, linked to the original signed agreement; historical records remain intact. Declining an update may stop future affected work but does not itself erase earned rights or prevent a privacy request or final payment inquiry. ## 15. Electronic signature and copies GrowKong adopts authorised electronic publication of this version as its electronic signature and acceptance. For your initial Master Creator Agreement, reviewing the document, checking acceptance, typing your full legal name and selecting Sign agreement expresses your intent to sign for the identified payee and agree to electronic contracting. For later versions, checking the acceptance box and selecting the confirmation button expresses your intent to be bound by the identified update for that contracting party, without typing your name again. This update process does not replace the separate verification and signature requirements for tax certificates, a change of contracting party or another legally required instrument. You may save/print the presented text before accepting and request a copy or accessibility help from support@growkong.com. The platform retains the version, document hash, signing/payee context, signer name, time, IP and user agent for the initial signature. A later update confirmation retains the version and document hash, a link to the original signed record, the account, current legal-payee context, time, hashed IP address and user agent. Signed agreements and update confirmations remain available through your Legal history. Withdrawing consent to future electronic contracting does not invalidate completed signatures, confirmations or accrued rights.
